CHIEF LEGAL OFFICER C-SUITE POSITION

​Reporting directly to Board of Directors, CEO and COO, the Chief Legal Officer (CLO) oversees all legal affairs affecting the company and its ecosystem companies.
​
RESPONSIBILITIES
As a member of the executive C-Suite and head of the company’s legal department, the CLO oversees and manages the provision of all legal services for the company to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law.
​
This role includes providing strategic guidance, support, and legal counsel to the board of directors, chairman of the board, chief executive officer, and other senior management.
The CLO works closely with the CEO and the COO; playing an essential role in the company’s survival by actively investigating contracts to safeguard finances of A$$ETCOIN. The CLO must be well-versed in all aspects of legal affairs ranging from simple contract law to broad investment and banking regulations associated with SEC regulations.
MANAGING LEGAL AFFAIRS

Providing legal counsel and guidance to the officers of the company and other upper management on all legal matters relevant to an investment firm; including personnel law, policies, procedures, rules, and SEC regulations pertaining to cryptocurrency transactions, contracts and tax matters, worker's compensation, liability and insurance matters, public and private monies and purchases, affirmative action, and other laws and regulations.

Anticipates and identifies legal issues and counsels officers of the company and other upper management in order to develop legal strategies and solutions, often in situations of great political, public relations, or financial risk or significance, and with limited time for assessing alternatives.

Reviews, researches, interprets and prepares both written and oral opinions on a wide variety of legal issues.

Drafts, reviews, and approves policies and procedures, regulations, bylaws, and other legal documents.

Reviews contracts, leases, and other legal documents; research legal issues and recommends revisions as necessary.

Represents or oversees the representation of the company and upper management in judicial and administrative proceedings, and in negotiations with other state agencies.

Designs establish, and maintains an organizational structure and staffing to effectively accomplish the company’s goals and objectives; oversees recruitment, training, supervision, and evaluation of legal department staff.

Develops and manages annual budgets for the organization and performs periodic cost and productivity analyses.

Selects and retains outside counsel, as required, to obtain legal opinions or to handle claims and litigation.

Performs miscellaneous job-related duties as assigned.
MANAGING INVESTMENTS
The CLO provides legal advice on matters pertaining to investment strategy, asset allocation, investment risk and limits; along with, assisting in the development of strategic partnerships between A$$ETCOIN’s Ecosystem portfolio and other potential ecosystem companies and legal sources.
Maximizing ROI
Maximizes return on invested funds by identifying investment opportunities; maintaining relationships with the investors and the investment community.
Raising Capital
Work with the CEO and COO in the capital raise process, participate in company events. Meet, interact and present information effectively to potential investors and private equity firms.
MANAGING STRATEGIC LEGAL RESOURCES
In addition to a legal matter, the CLO works closely with the senior management team to accomplish human resource strategies by determining;

Legal Strategies
Develops legal strategies associated with the development of the company, its capital, facilities, and staff.
Interacting with the Board and dealing with governance matters, the CLO:

Supports the Chairman in setting and shaping Board meeting agendas to ensure Board discussions are informed, productive, constructive, and inclusive.

Advises the Board on all policy, delivery and strategic issues.

Effectively implements the duties and responsibilities assigned by A$$ETCOIN Board of Directors.

Communicates with the Board on the activities, investments and business development activities.

Prepares an annual report on CLO activities; along with, an annual legal report prepared according to Securities and Exchange Commission (SEC) regulations for approval by the Board.
Required Skills/Talents
CLO must possess strong initiative, as well as excellent management and leadership skills and strong business acumen. Professional qualifications include a Juris Doctor (JD) and any applicable state license to practice law is required. Along with advanced or equivalent knowledge, skills, abilities, and experience in business management and strategic development.
